1. What the terms mean.
“Buyer” means the person who agrees to buy from the seller. The buyer is bound by the contractual terms set by Phone City Direct.
“Seller” means the entity Phone City Direct with whom the buyer has entered into contract with.
“Airtime Contract” means a contract entered in between you and your Network Operator relating to the provision of service.
“Tariff” means the pay monthly price plan, package provided by the Network Operator at the promotional period.
“Equipment” means equipment, without limitation, your Mobile Phone, Prepay handset, Prepay sim card, Smart Phone, other mobile phone accessories, USB modem and other GSM/UMTS equipment.
“Minimum Period” means the least amount of time for the provision of the Services under your airtime contract.
“Smart Phone” means PDA, XDA, MDA, Motorola Sidekick, Nokia E90, Palm Treo, Blackberry and other equivalent devices and any accessories incorporated in the price of your device”.
“Network Operator” means a Network provider nominated by us to you, with whom you have entered into whichever scheduled Airtime Contract.
2. What the Contract Covers.
A buyer (“You”) are subject exclusively and strictly to adhere to the terms of Phone City Direct (“New Ora Ltd”, “Phone City” or “we/our/us”) as well as the networks (these include Orange, Virgin, T-Mobile, O2, 3 or Vodafone as appropriate) terms of sale when assigning to an Airtime Contract. A handset may be offered for free subject to the terms of the Airtime Contract.
Any alterations proposed by you shall not be binding unless we agree in writing. No other terms shall act as a waiver against our terms.
A comprehensive and up to date version of the terms and conditions for each Network can be found on their respective web sites. We recommend that you contact us prior to placing your orders for Equipment should you require any assistance finding these terms.
3. Contract length. (12, 18, 24 or 36 month)
It is imperative to note that all pay monthly Equipment is subject to status, credit check, availability and a deposit(s) may be deemed mandatory by the Network Operator prior to the activation of the Airtime Contract. International deposits may also be required by the Network Operator; we are not obliged to inform you of any roaming deposits. In the event that your initial choice of Network Operator results in a deposit or decline, we may conduct a credit check on an alternative Network Operator.
3.1 T-Mobile Student Saver Contract length (Student Saver 15, 20, 25, 30 and 35)
All T-Mobile pay monthly Solo tariffs signed up with a subsidised handset are also known as ‘Student Saver ’ tariffs with a minimum commitment period of 12 months. The minimum 12 month commitment is additional to the 30 day rolling contract terms and conditions of T-Mobile UK. No other terms may act as a waiver to our terms. In accepting our handset at a subsidised price you are automatically committing to an additional contract length of 12 months. Please note that T-Mobile advertise Solo as a 30 day rolling contract, however our Student Saver tariffs are an additional 12 months.
3.2 Additional Contract Term(s).
You must execute the Airtime Contract for the Minimum Term. In accordance to these terms and conditions you give us consent to notify you once your twelve, eighteen, twenty-four or thirty six month minimum term contract expires.
3.3 T-Mobile Student Saver Cashback
Phone City Direct will automatically process Cashback for student deals. You must pay your first 4 pay monthly bills on time to process your claims. No other redemption process applies to NUS Student Saver deals. We will automatically send the claimable amount directly into your nominated bank account.
4. Privacy.
Your personal details will be handled with great care and confidentiality. We are dedicated to protecting your privacy. Your data will be used lawfully in accordance with the Data Protection Act 1998.
5. When You May Use the Service.
You may start using the service as soon as you have finished the signup process.
6. Prices and price increases.
We strive to maintain consistent prices, although it may be necessary to adjust prices (to either more or less value) prior to the dispatch of Equipment.
All orders placed online will be administered as an offer to purchase Equipment from us.
Any automated reply that you may take delivery from, including our text confirmation &/or online ordering system shall not be deemed as our approval of your tender to purchase Equipment.
We will only explicitly agree to your proposal and, as a result a contract, including agreement to these terms and conditions, shall only be honoured upon the dispatch of the Equipment to you and confirm this by e-mail.
Airtime Contract agreements shall be recognised and acceptance will be deemed complete as soon as we have sent a confirmation of dispatch e-mail to the e-mail address you provided (whether or not you receive that e-mail.)
Phone City Direct reserve the right to refuse or reject any offer to purchase at any time.
All prices and offers are valid only for the month in which they are in print and are subject to alteration, withdrawal, or other changes without notice.
6.1 Billing.
It is the buyer’s responsibility to ensure that you are fully aware of the current charges applicable to the tariff and Airtime Contract you have agreed to comply with.
Please note that billing enquiries must be taken up directly with the network, the airtime contract is with them and not us.
6.2 Equipment prices.
There may be a general variance in the prices of Equipment occasionally. Unless otherwise openly stated, all prices for contract handsets are dependent on connection to a particular network & tariff and are subject to status. Most handsets are subject to a minimum 12, 18, 24 or 36 month contract. Prepay handsets are typically £50 less expensive than Sim Free phones as they are subsidised by the respective networks. Prepay handsets are limited to being used with the sim provided, a minimum top-up is compulsory.
6.3 Prepay Sim Cards.
We may necessitate you to purchase a minimum airtime voucher with the purchase of your Prepay (Pay-as-you Go) Sim Card(s) on promotional offers.
6.4 Prepay Handsets.
It is important that you understand the type of usage practice we operate on all orders for prepay (Pay-as-you-Go) handsets. Prepay handsets require the Equipment being used with the New Sim Provided with the handset. We may necessitate you to purchase and load instantly a minimum airtime voucher with the purchase of your Equipment. We prohibit the handset being used with another Sim Card. You must also load another minimum airtime voucher within 120 days of connection. We reserve the right to levy an administration charge where these terms are not fulfilled.
6.5 Prices Determined by Tariff.
Phone City Direct has been imposed with conditions from the Network Operators therefore we have to pass these terms on to our customers. If you have a query in reference to tariff down grade please email us at support@phonecitydirect.com. Please do not refer to the customer service teams of the Network Operators for tariff change policies as the information they may provide you may not be inline with our terms. These may result in penalties payable by you to us.
6.6 120 day fixed tariff policy.
Should you to reduce your monthly price plan to a lower preference within 120 days of connection an administration charge will be levied (this is normally £30), in addition the price variance in handset price between the ordered tariff and the new tariff may also be imposed.
Only Phone City Direct shall settle the difference in price of handset. This fee will be due without delay as of the date of tariff change. The fee shall be charge to the card details provided when the Equipment order was placed and send you a receipt. In the event that we cannot charge your card, for any reason, we will invoice you and interest may be charged on payments not received within 7 days, we have the write to take legal proceedings.
T-Mobile may permit customers to move to a lower price plan however this will result in an additional charge from us as laid out above. As of standard T-Mobile have an 11 month no tariff downgrade policy.
In short: Changing to a different T-Mobile tariff within 120 days of connection will mean we have to charge your card with an additional amount (even if the tariff change was on the 119th day).
3 terms and conditions forbid customers to move to a lower tariff within the first 11 months of a contract. For further clarification on additional regulations on the changing of tariff please contact 3 to find out more. If you cancel the direct debit mandate before 120 days we reserve the right to levy an administration charge of £40.
Orange will not consent you to change to a lower tariff until you are half-way through your minimum term contract. You may downgrade one price plan only every month. You may re-sign to a new contract and change to any new talk plan in the last three months of your contract.
O2 restrict customers already connected to any B4B tariffs to move to a lower price plan before the minimum contract length. All other O2 tariffs cannot reduce their monthly line rental within the first 6 months of their contract. You may only change your tariff after your bill for month 6 has been paid.
Vodafone conditions state that customers are not permitted to move to a lower tariff within the first 7 months of their airtime contract.
6.7 Orders placed in advance to release.
Our dedicate research and development team allows us to be ahead of all our competition in the telecoms trade. As a result we often advertise products in advance of them being physically available to purchase online.
Please note that all prices stated for pre-order purchases have been set as an educated guess only. Thus exclusives, deals and offers for pre-order or "coming soon" Equipment is shown as an estimated price only. The real agreed price and offer will be that in effect on the day of dispatch. We aim to inform you of this price (if not free) prior to processing your order. You have the right to cancel a pre-order at any time prior to dispatch.
7. Early termination Charges.
In the event your Airtime Contract ends/expires or your service is disconnected within 120 days from the date of connection for whichever given reason (including but not restricted to disconnection or non-payment of bills), we will have no alternative but to charge you for any lost commission and/or the current "SIM Free" price (RRP) of any handset supplied and/or Free Gifts supplied.
We may agree to return the Equipment in lieu if in good and working condition at our preference. Although your service may be restored by the Network Operator at a later date we will still not be able to recover commissions from them for your handset and the terms mentioned will remain in force.
8. Upgrade policies.
We have general guidelines that we would like to make customers aware of when upgrading their Airtime Contract with us.
8.1 O2 Upgrades.
You may choose to select either a 2 or 3 year Minimum Contract Length that offers the liberty to select Equipment of superior value yet still be able to upgrade the following year to a new handset, long term commitment is rewarded by O2.
8.3 Orange Upgrades.
You may be asked to pay an upgrade fee to Orange in addition to the cost of your new phone (if applicable). The amount of fee is set and generated by Orange and is added to the next monthly bill. It is your responsibility to confirm whether this fee is payable with Orange prior to ordering an upgrade.
8.4 Orange 2 year Contracts.
Should you choose to commit to a 2 year Airtime Agreement instead of the conventional 12 month contract and entitled to a 10% concession that is automatically deducted from your monthly subscription fee. In addition to these terms and conditions there are specific 2 year contract T&Cs that you will be agreeing to.
8.5 T-Mobile Upgrades
In the event that you accept an upgrade offer and take an Exclusive handset (“Off line”/“Sim Free”) you automatically accept the same returns policy as is applied for Off line handsets. We offer an exclusive handset in exchange for a T-Mobile registered handset. When you place an order with us over the phone, on the website or in the store you automatically accept our terms and conditions. It is your responsibility to register this IMEI with your insurance provider including T-Mobile. 14 day money back does not apply to these handsets.

9. Vodafone contracts.
You must take into account that all marked prices on our website are subject to contracts with brand New mobile numbers or numbers Ported from the Network Operators as appropriate.
9.1 Vodafone Churn Rule.
Any new connection onto the Vodafone network that may evolve from the disconnection of an existing handset or contract is classed as a disconnection/reconnection. This condition consists of but is not limited to any disconnection either 90 days prior or 45 days following the new connection. We are entitled to levy a £200 surcharge against any handset sale where Vodafone subsequently put into action their disconnection/reconnection ("churn") policy.
10. Our Price Match Guaranty.
We aim to offer our customers great value and as a result attempt to monitor our prices daily.

11. Free Gifts.
Our offers may permit you to benefit from our free gifts as shown subject to terms and conditions. Simply remain on the same tariff or a higher one for at least 120 days from the date of connection. We reserve the right to charge your card with the retail price of any free gift issued to you where you reduce your price plan within 120 days of connection. Free Gifts are offered subject to availability. In the unlikely event of stock problems we may substitute advertised free gifts with similar Equipment of an equal or higher retail value. Cash alternatives are not an option.
12. Deluxe Gifts.
For us to be able to continue to offer highly demanded free gifts, it is vital for us to confirm the settlement of your first three bills prior to the dispatch of any said gift(s).
Please note:
The free gift will be dispatched on receipt of your first, second and third monthly bill (clearly showing that your first monthly bill has been paid).
For administrative purposes we must receive your third original bill within 30 days of the date of the bill.
Colours of the Free Gifts may vary depending on the availability of stock and as mentioned above there may be the rare occasion where we have to substitute a gift of equal or higher value.

13. Savings.
We like to make things simple at Phone City Direct and as a result we have worked out your total saving by taking up our deals. The savings amount that is apparent on index pages is the variance between the total line rental usually paid throughout the promotional period and the comparable you will pay if the discounted line rental redemption terms are fulfilled on a selected plan.
14. Discounted Line Rental , Cashback & Free Gifts.
Line rental discounts, Cashback and Free Gifts are offered via redemption. An exception to these redemption terms are the Free Gifts that are available on T-Mobile upgrades, these are automatically processed subject to availability. You may refer to our Cashback terms for further information.
15. Money Back Guarantee.
Buying from us shall result in you automatically expressly agreeing to our terms and conditions.
Complete our Returns Authorisation Form prior to sending in any returns otherwise we shall not accept any returns whatsoever the circumstances may be.
Inline with the Consumer Protection (Distance Selling) Regulations 2000 we operate a 7day money back guarantee.
“As new” condition defined
Where you have opened the package to look at the Equipment purchased, you must have done so taking care that no damage has been caused to the Equipment including any marks on the Equipment or packaging in any way. You are prohibited from removing any protective film (normally found on the LCD) covering any part of the Equipment or breaking the seal found on various products such as Sim Cards, software etc.
Application of Money Back Guarantee
Money Back Guarantee applies subject to Equipment and all retail packaging being returned in un- tampered, "as new" condition and unopened condition and complete with all packaging and any accessories originally supplied, we offer a no quibble 14 day money back guarantee on most products, with the exclusion of:
Off line (“Sim Free”) handsets, Cordless/DECT landline phones, accessories, airtime vouchers, Sim Cards and Data Cables are excluded from the money back guarantee. These are all excluded from your cancellation rights under the Distance Selling Regulations 2000. This does not affect your statutory rights.
Pay monthly handsets
14 day money back guarantee commences with the day of connection being day one (even if your Equipment may not be dispatched on the day). Your Equipment must be returned to us by day 14 for us to be able to cancel your Airtime Contract with the Network Operator. In short, if the delivery of your Equipment is delayed for any reason then the time in which you can return your Equipment will be reduced. Please note there is an administration fee of £49 for all Airtime Agreement cancellations.
15.1 Orange do not offer the 14 day money back guarantee on Orange Upgrades where you keep the same (existing) number irrespective of whether you were originally on a pay monthly contract or a pay as you go tariff (this process is also known as a prepay to contract migration).
15.2 T-Mobile do not offer a 14 day money back guarantee on T-Mobile agreements however Phone City Direct will offer a 7 day money back guarantee in agreement with the Distance Selling Regulations 2000.
We do not offer a 14 day money back guarantee on any pay monthly handset where the Sim Card seal/label has been broken or been used.
16. General Summary.
Cancelling/terminating a Pay Monthly Airtime Agreement and returning a Mobile Phone under the 14 day money back guarantee you must return all accessories (including memory cards, batteries etc), packaging, the phone itself and other items as dispatched to yourself in perfect condition and unused. The Network Operators will not allow a cancellation unless these criteria are met. We may however at our discretion charge a small fee for missing or damaged items and/or packaging as well as and not including a £49 administration charge.
17. Your Cancellation Rights
You must have a valid returns authorisation number before returning goods.
You may cancel your orders for most items within 8 days of receipt of Equipment. Your duty is to return the Equipment unused and reasonable care should be taken of the Equipment in the period it is in your possession. You must ensure that both the Equipment and packaging must be returned in a resalable condition. Carriage costs are your responsibility. We endeavor to process all returns within 10 days of receipt of returned Equipment.
Please note that orders will only be deemed cancelled as soon as you have received confirmation from us, by email, that this has been done.
18. Where 14 day money back does not apply.
Delivery costs are the responsibility of the customer. This cost is recovered in our £49 administration charge should you decide to cancel your Airtime Agreement within the permitted time allocation. If orders are subsequently cancelled, any refund will have all delivery charges deducted from any refund amount given. In the case of free Pay Monthly Phones, Airtime Contract cancellation will not be processed until we have been reimbursed for any delivery costs incurred
Off line (“Sim Free”) handsets, Cordless/DECT landline phones, accessories, unlock codes,airtime vouchers, Sim Cards and Data Cables are excluded from the money back guarantee. These are all excluded from your cancellation rights under the Distance Selling Regulations 2000. This does not affect your statutory rights.
18.1 Clearance items.
A restocking fee of 20% or £20 (which ever deemed fit by Phone City Direct) will be deducted from any refunded for returned clearance items where the Equipment on testing are found not to be faulty, in order to compensate for administration costs.
18.2 Pay Monthly Phones.
An order cannot be cancelled once the Sim Card seal/label has been broken.
18.3 Returns.
In the unlikely event that Equipment needs to be returned to us, it is imperative that a Returns Authorisation Number is obtained first to enable us to process your return efficiently. Equipment sent without a valid Returns Authorisation Number will be held for 30 days and returned to you at the sender’s expense.
Why you should use Royal Mail Special Delivery and not Recorded Delivery?
Royal Mail Recorded Delivery will only offer compensation up to £27 should a package not be delivered, your phone is worth more.
An Airtime Contract can only be cancelled once the Equipment and all associated accessories have been checked and signed for by authorised personnel and there are no outstanding bills.
If Royal Mail fail to deliver your Equipment you will still be liable to pay line rental for the minimum contractual period.
Royal Mail Special Delivery offers an insured, tracked delivery method.
18.4 Returns of Free Gifts and Packaged Offers.
Where a packaged deal is offered (e.g. a pay monthly handset and free MP3 player) and the handset is returned within 14/28 days without the packaged item, we reserve the right to charge your card with the difference amid our standard RRP for the packaged item and the subsidised price you originally paid.
Free Gifts are offered subject to specific terms and conditions. In the event that you return a handset but fail to return the free gift in "as new" condition, we reserve the right to charge your card with the normal retail price of the gift in question as shown on our web site (e.g. Apple IPod Shuffle = £39.99.
18.5 Warranty Replacement/Repair.

18.6 Refunds.
We endeavor to process all authorised refunds within 10 working days. Refunds may be in the form of credit/debit card refund or cheque.
19. Delivery and Fulfillment.
Any orders placed before 2 pm will be dispatched the same day and delivered to you NEXT day.
High value items are generally despatched using Royal Mail Special Delivery which guarantees next working day delivery before 1pm, including delivery on Saturdays.
Lower value items may be despatched using Recorded Delivery or with Proof of Posting at our discretion. Please note that, as with any mail order company, delivery is out of our hands once Royal Mail has collected from our offices.
In the event that Royal Mail or our couriers return goods to us as undeliverable for any reason, additional delivery charges may apply to cover the cost of re-delivery.

20. Tariff Details.
All price plan specification including marked prices, promotional offers, other details and services are alleged to be correct, accurate and to the best of our knowledge at the period of produce and print. However details are displayed on our website merely as a guide as they are subject to change at any time by the Network Operators and us. You are responsible for any ambiguity as it is your obligation to make certain that any information you in turn rely on has been confirmed to be accurate by the Network Operator prior to ordering.
21. Chargeable Numbers.
Please note that all Network Operators have by now or are in the process of updating their price plans consequently almost all 0870 (national rate), 0845 (“non geographic”), 0800 ("freephone") numbers are now chargeable. Please consult your Network Operator for other premium rate calls charges. It is your responsibility to confirm any call charges you are unsure of with your Network Operator.
22. Overseas orders.
We will dispatch orders within Great Britain and Northern Ireland not including the EU. Pay monthly deals are restricted to customers resident in the UK only.
23. Compensation.
£19.00 is the maximum amount of compensation payable in the event of non-delivery of goods through no fault of the customer except when due to Acts of God or Industrial Action.
In the event that you are without a handset for over 28 consecutive days, due to our inability to repair or replace the phone within that time, we will compensate you the value of one month's line rental based on the tariff you were on at the beginning of the 28 day period, not now. No compensation will be paid for periods less than 28 days.
Compensation against consequential loss is available on receipt of a further fee. This cover is subject to it being agreed and authorised by our Head Office in writing and prior to the despatch of any goods.
24. Industrial Action.
In the event that we are affected by either local or national strikes we cannot accept any liability. We are unable to keep these events under control and therefore cannot accept any liability for any delays, shortfalls or issues caused by Industrial Action.
25. Acts of God.
Acts of God include but are not restricted to flooding, fire, snow, earthquake and other severe weather conditions, civil strife and acts of terrorism. These delays may cause losses and issues that are out of our control and for which we cannot accept any liability and will not pay any compensation.
26. Incompatibility of Website.
We cannot accept any liability caused by any delays, losses or problems caused by any technical errors, interruptions or incompatibility caused by our website that may be caused to your telecoms links, equipment or software.
27. Competitions.
All competitions are expressly subject to our terms and conditions and the decision made by Phone City Direct is final in all respects. We reserve the right to disclose details of winners for purposes such as exposure, advertising and public relations. Prizes not claimed within 90 days of the prize draw will be forfeited and allocated again at our discretion.
28. Mobile Phone Insurance.
All phone insurance products and services are offered and regulated by a third party, we are resellers only and do not insure any product ourselves. Your handset is not insured until you have received your policy documents in the post, and we cannot accept any liability for loss of, or damage to, uninsured phones. It is your responsibility to confirm insured protection with the Insurer. Where the third party Insurer refuses your application for insurance, for any given reason, your sole recompense will be a refund of monies paid for any remaining unused insurance period, except in the case of a claim being made in which case no refund will be given. You agree that a refusal to insure any products supplied may not be used as a reason to return said products.
29. Administrative Errors.
Infrequently an error in administration may occur which includes and are not limited to inconsistencies in data that may result in Network Operators opting not to accept an application. Credit decision and further information can be revealed after the despatch of goods. We reserve the right to request that goods be returned to us for a full refund of any monies paid plus reasonable carriage costs. In the event that the customer chooses not to return the goods, in good condition and with all other despatched items as appropriate, we reserve the right to charge the customer the cost of replacement on damaged components or our Sim Free price of the handset (or its nearest equivalent).
30. Trademarks and Copyrights.
Our suppliers own the copyright, trademarks and all intellectual property rights in all the content and material on our site. We also appreciate the relevance and need to understand the copyright owner’s opinions. We openly invite any suggestions by you. Should you feel that we have not fulfilled your expectations in any way please contact us on support@phonecitydirect.com. We value your opinion.
31. Phone City Direct Web site Terms of Use.
All data and pages on this site and content therein, including text, images, design and HTML formatting are a copyright belonging Phone City Direct or are used with the compliance and consent of the relevant copyright holder. Any unauthorised plagiarism or usage or manipulation will constitute an infringement of copyright.
Use of content that is not permitted on this site for commercial gain is strictly prohibited and may result in us initiating legal proceedings for the optimum compensation sanctioned under English law, including our loss of goodwill, damage to brand reputation and our legal expenses. All rights are reserved
32. Authorisation of Payment.
When you place an order for an offer on our website you automatically accept our terms and conditions.
By accepting our terms and conditions, you expressly agree that we are authorised to charge your credit, debit or charge card for Equipment supplied by us. You also agree and accept that we are authorised to charge your card with any surcharges and/or additional amounts due to us as specified in these terms and conditions at any time.
In order to avoid any ambiguity and clarify any possible confusion in communication, when you purchase a mobile phone from us, we would like to particularly highlight the detail mentioned above in reference to our administration charges should you change to a lower tariff within 120 days of connection.
33. Card Authorisations.
As part of our security checks to protect genuine card holders, your bank or card provider may reserve funds on your account by up to £59.00. Please rest assured the reserved funds will be with you within 14 days.
Should you decide to not go ahead with your order or the order is not fulfilled due to unforeseen circumstances it may take up to 14 days for your bank to make these funds available to you again. On your request, we can ask our payment processing terminal to manually cancel the authorisation, which commonly results in your card issuer releasing the reserved funds within 3-5 working days.
In short placing an order with us constitutes acceptance of our lawful right to authorise a nominal fee on your nominated card.
34. Outstanding debts.
Where an outstanding amount is unpaid for more than 14 days for any reason we reserve the right to instruct the services of a debt recovery agency to recover any amounts outstanding on our behalf. These include price plan variations, early disconnections, credit card chargebacks and dishonoured cheques. We may also reserve the right to sell the debt on to other debt recovery agencies. Adhering to these terms and conditions you agree to bring upon yourself the costs incurred as a result of this action.
35. Website Accuracy.
We strive to maintain consistent prices, although it may be necessary to change prices either up or down prior to the dispatch of Equipment.
We are unable to guarantee the precision of information supplied, especially with mobile phone handsets specifications, network tariffs and exclusive offers, which may change without prior notice to us. This is due to the rapid advances in the telecommunications industry.
36. Severance.
In the event that a section of these Terms is deemed unenforceable, unlawful or void on any grounds, then that condition shall be deemed severable from these Terms immediately however the validity of the remaining Terms shall remain enforced and unaffected.
37. Waiver.
No waiver by us shall be construed as a waiver of any proceeding or succeeding breach of any condition.
38. Law & Jurisdiction.
